The whistleblower system

Boliden's whistleblower system is a confidential communication channel through which you are allowed to anonymously raise concerns about serious wrongdoings. The system is not intended to replace our internal reporting channels, but to serve as a complement to these.

What can be reported?

The whistleblower system is only for reporting actual or suspected serious wrongdoings within the Boliden group. A person who blows the whistle does not need to have firm evidence for expressing a suspicion but the report must have been made in good faith.

Definition of serious wrongdoing
A serious wrongdoing means any serious misconduct, mismanagement or any intentional wrongdoing, such as deliberate violations of a law or mandatory group policies or major deviations from our core values, within the Boliden group concerning;

  • accounting, internal accounting controls, auditing matters, bribery and corruption and/or other banking- and financial crime; or
  • other serious misconduct or violations of a law or mandatory group policies and major deviations from or threats concerning Boliden company's or Boliden group's vital interests or the life or health of individual persons, such as serious environmental crimes, major deficiencies in the safety at the workplace and very serious forms of discrimination or harassments.

Serious wrongdoing also includes attempts to conceal any of the above.

Certain jurisdictions may also impose restrictions as to whom you may report on. In Sweden, including but not limited to persons in leading positions and key personnel may be subject to whistleblower reporting.

Definition of persons in a leading position and key personnel
People in leading positions and key personnel within the Boliden group are Boliden AB's board of directors, Boliden’s group management, the Business Area Mines management, the Business Area Smelters management and any employee reporting directly to a member of any of these groups.

What shall not be reported?

The whistleblower system shall not be used to report issues relating to dissatisfaction in the workplace or other misconduct that is not considered as serious misconduct or wrongdoing. Such concerns should be directed to your manager or HR manager. External stakeholders should primarily report to their contact person at Boliden or to the local HR function.

Who administers the whistleblower system?

Our whistleblower system is a closed system provided by the independent external third party WhistleB Whistleblowing Centre AB ("WhistleB"). The system is entirely disconnected from Boliden's intranet or external website. All messages are encrypted. To ensure the anonymity of the person sending a message, WhistleB does not save IP addresses or other meta-data. Reporting can be done 24 hours a day, all year round. Visit https://whistleb.com/ for more information about WhistleB.

What happens after a report has been submitted?

Once you submit a report via the whistleblower system a case ID and password will be shown on the screen. Save these in a secure manner if you wish to continue a dialogue with Boliden and/or follow-up on the status of your report. Your report will initially be reviewed by WhistleB before forwarded to Boliden. WhistleB ensures that a report is not forwarded to anyone within Boliden who might be subject to the report.

Are reports handled secure and confidential?

All information received in connection with a report will be treated discreetly, strictly confidential and as speedy as possible. Any attempt to identify a whistleblower who has chosen to be anonymous is strictly forbidden.
